By using our website ("Website") and the services provided therein (collectively, the "Services"), you agree to comply with and be bound by the following terms and conditions ("Terms of Use"). Please review these Terms of Use carefully before using our Website and Services. If you do not agree to these terms, please do not use the Website or Services.

By accessing or using our Website and Services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use. If you are using our Services on behalf of a company, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these terms, and "you" in these Terms of Use refers to that entity.

2. Definition of Terms

The terms "client," "you," and "your" refer to you, the person who uses or accesses this website and its services. 

"We", "Us", "Our", "Ourselves", and "The Company" refer to our company, Credley Global Ltd, including its successors, assignees, and affiliates.

The terms "Party", "Parties", or "Us" apply to either the Client or ourselves, or both.

"Business Day" refers to weekdays excluding Saturdays and Sundays, as well as any other statutory work-free days/public holidays in Nigeria.

Any usage of the aforesaid terminology or other terms in the singular, plural, capitalization, and/or he/she or they is interpreted as interchangeable and so refers to the same

3. Changes to Terms

We may revise and update these Terms of Use from time to time. All changes are effective immediately when we post them. Your continued use of the Website and Services after the posting of revised Terms of Use means that you accept and agree to the changes. It is your responsibility to check these Terms of Use periodically for updates.

4. Privacy

Your use of the Website and Services is also governed by our Privacy Policy, which can be found at [Link to Privacy Policy]. Please review our Privacy Policy to understand our practices concerning your personal information.

5. Services

The Services constitute a technology platform that assists Employers through revolutionized Employee benefits. With Credley, Employers are able to offer their employees access to their earned salaries instantly at any given time, and employees can purchase from international merchants using Naira. 
 
 Charges: Funding employees' access attracts a small fee. By default, this fee is borne by the employee. However, the employer can choose to bear the fee.
 
 If any of the Company’s employees has withdrawn from Credley’s flexible salary service and the employee’s employment is terminated without notice, and the Company is unwilling to repay the funds withdrawn by its former employee, the employee will be liable to make repayments to Credley and Credley will have the right by law to recover the funds from the Company’s former employee.

6. Use of the Services

6.1. Eligibility: You must be at least 18 years old and have the legal capacity to enter into agreements to use our Services. You must also fulfil the following conditions

  • Be an employer or a company carrying on business in Nigeria
  • Be an employee of a company already registered with us

By using our Services, you represent and warrant that you meet these eligibility requirements.

6.2. Account Registration: To access certain features of the Services, you may be required to register for an account. You agree to provide accurate, current, and complete information including but not limited your name, email address, telephone number, bank verification number (BVN), bank account details, CAC documents, during the registration process and to update such information to keep it accurate, current, and complete.

6.3. User Responsibilities: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security.

7. Employment Data

Credley uses information provided by employers about their employees, and information provided by employees at signup stage. By agreeing to our terms of use, employees consent to their employer sharing employment data required for them to use the Credley service. This includes:

  1. Your name;
  2. Your employee identification number;
  3. Your contact information (including your email and your mobile phone number);
  4. Your net pay;
  5. Your bank account information (for purposes of facilitating payments); and
  6. Any other related data shared by your employer.

Employers must immediately inform Credley of any change to their employees’s details. Failure to do so may result in adverse effect on the employee’s account and use of the services, of which Credley will not be liable for. 

8. Proprietary Rights

8.1. Ownership: The Website and Services, including all content, features, and functionality, are owned by the Company and its licensors and are protected by intellectual property laws. You may not use our content or materials without our prior written consent.

8.2. Trademarks: Our trademarks may not be used in connection with any product or service without our prior written consent.

9. Limitations and Disclaimers

9.1. No Warranty: The Website and Services are provided "as is" and "as available" without any warranties, express or implied. We do not guarantee the accuracy, completeness, or availability of the Services.

9.2. Limitation of Liability: To the fullest extent permitted by applicable law, we shall not be liable for any direct, indirect, punitive, incidental, special, or consequential damages arising out of or in any way connected with the use of the Website or Services.

10. Cookies

Cookies let us recognize your chosen settings by giving us information about you, your device, and where you are. This enables us to provide you a more personalized experience. You agree to the usage of cookies in line with Credley's privacy policy by using the website.

11. Termination

We reserve the right to terminate or suspend your account and access to the Services at our sole discretion, without notice, for conduct that we believe violates these Terms of Use or is harmful to other users or the Company.

12. Governing Law

These Terms of Use shall be governed by and construed in accordance with the laws of Federal Republic of Nigeria. Your use of Credley’s services may also be subject to other local, state, national or international laws.
 
 If you have any concern or dispute about the service, you agree to first try to resolve the dispute informally by contacting the company and in the event that it is not resolved, you agree to submit the dispute to Lagos Multidoor Courthouse (LMDC) for mediation. The LMDC rules shall govern the conduct of the mediation. You agree that any settlement agreement reached at the mediation shall be binding on you.
